Urgently hiring Company secretary/CS+LLB for Donapaula,Goa.
Reports to: Company Secretary
Duties and responsibilities:
Key Role:
- Assisting the Company Secretary in preparation ofAnnual General Meeting, various Board and Committee meetings including smooth conduct of meetings and post meeting compliances.
- Maintenance of Statutory records, minutes book and documents in consultation with Company Secretary.
- Understanding Shareholder grievances and resolving it in consultation with Company Secretary and RTA.
- File various statutory forms & returns including IEPF claims with Ministry of Corporate Affairs including tracking and periodic updating of dashboard.
- Maintain and record Statutory Registers and other Compliance related documents as required under the provisions of Companies Act & Rules thereunder.
- Active participation and coordination with other functions like Finance, Asset Management and Operations for smooth conduct of business.
- Shareholder/ Investor Management activities
- CSR Management and compliance including guidance to different stakeholders.
- Assist Company Secretary in all Project Management/Key Advisory.
- Liaisoning with ROC, Bankers and other authorities.
- Updating website of the Company and updating details on CDSL and NSDL portal on need basis and coordinate with NSDL/CSDL and RTA as required.
- Ensure all statutory and vendor payments are made before the due date pertaining to the department.
- Track and maintain details of communication sent by company to shareholders and vice – versa.
- Support in complying with POSH regulations including obtaining half-yearly report from HR Department in corporate and operational areas from IHCL pertaining to POSH and Whistle blower policy.
- To support compliance processes for FRHL at corporate and operations at IHCL.
- Filling and Submitting the claim forms of retired/resigned employees to HDFC Life
- Other routine secretarial and related work.
- Any other work assigned from time to time.
Legal:
- To provide legal support and represent the Company in and perform corporate duties.
- Drafting and vetting various kinds of legal documents like Lease Deed, Leave and License Agreement, Service Agreement, Memorandum of Understanding (MOU), Vendor Agreement and their Addendum and monitor legal obligations. Meetings with the Lawyers, attending hearing in the court if required.
- Interpretation of Law, ruling & regulations as well as agreements and ensure their enforceability to safeguard the interest of the Company.
- Assist Legal team in respect of any Legal matters including responding to notices.
- Research and work with legal team in providing inputs opinions/suggestion on various matters pertaining to business of the company.
- To review/ follow up and obtain periodic updates on all legal matters of the Company.

- Knowledge of Company Law and basic legal acumen.
- Excellent interpersonal communication at all levels (verbal and written).
- Problem solving and analytical skills.
- Ability to multi-task and meet deadlines.
- Ability to cope with high levels of responsibility and with confidential matters.
- Dedicated, Team-player who can also work independently.
- A high level of professionalism which is required on the job at all times.
- Proficient computer skills with ability to provide power point presentations
- Ability to work under stress and late working incase required anytime
Educational Qualifications:
Company Secretary/ (Executive CS) , with/without degree in Law but with minimum work experience of at least 4-5years in a Company preferably a public limited Company.
